使用者須知

透過接收和/或使用由ACD Systems International Inc.（以下簡稱“ACD”）開發的ACDSee相關軟體，視為您同意接受以下使用者協定的約束。本協定是在ACD與軟體的購買者、使用者或試用者（以下統稱為“您”）之間具有約束力的法定協定。如果您不同意受本協定的約束，請立即將本軟體自您的裝置中移除，且請立即透過信件將您所擁有的本軟體和相關文檔的所有乙本返還給ACD。

1. 定義

“軟體”指稱為ACDSee的電腦軟體，且包括（電子形式或印製形式的）相關軟體使用者指南、參考指南和安裝指南。「裝置」是指帶有能執行軟體的儲存裝置或行動裝置的電腦硬體系統（無論是實體系統的還是虛擬系統）且包括硬體分區和刀片式電腦。軟體的“使用”指您已在裝置上載入、安裝或執行該軟體。“試用版”是指在未購買許可證的情形下，您在特定期間（“試用期”）內可以使用的軟體版次，通常試用期為15天，不同的產品試用期可能會不同。

2. 軟體許可證的授予

2.1 軟體許可證的授予

若您已購買軟體使用許可證，但尚未購買第3條中規定的許可證，則可適用本條。依照本協定的條款，ACD會向您授予有限的，非排他性的，不可轉讓的全球性許可證且您無權再次分許可，自而您可依照本協定及您與ACD簽署的其他書面協定使用或試用本軟體的（目標代碼）版次。ACD不會將本軟體的所有權轉讓給您且向您授予的許可證並沒出售給您。若您遵守本協定的所有條款，ACD將會向您進行授權，自而您可在您擁有和控制的一台裝置上安裝和執行該軟體。

2.2 試用版軟體的使用

您可在試用期內使用該試用版軟體。在試用期到期之時或之前，您必須自ACD（或授權經銷廠商或分銷廠商）處購買許可證才能持續使用本軟體，或者在試用期到期後，您必須立即自您的裝置中移除本軟體。若需瞭解有關購買本軟體使用許可證的更多訊息，請聯絡ACD。

2.3 軟體的安裝和啟動

您負責進行本軟體的安裝且不得允許他人使用，拷貝或試用本軟體的乙本。一旦您自ACD購買軟體許可證來持續使用本軟體，您可能需透過網際網路啟動本軟體。在軟體中採取一些技術舉措，以防止任何人未經許可使用本軟體。ACD將採用這些舉措來確認您擁有該軟體的有效許可證。

2.4 試用版軟體的分發

您可自由分發該試用版軟體，前提是：(a)該等分發僅包括由ACD提供的原始存檔。您不得以任何方式更改，移除或新增分發存文檔中的任何文檔或修改本軟體；(b)任何人不得歪曲試用版軟體的有限試用性質；(c)除合理的包裝成本和其他開銷之外，接收試用版軟體的人員無需支付任何費用；(d)您需事先向ACD發送電子信件通知或書面通知，以說明您正在分發試用版軟體。若您將本軟體與其他媒體或軟體一起分發，則需事先獲得ACD的書面核准。若要獲得事先書面核准，請聯絡ACD。您可能需向ACD報告不時分發的試用版軟體的數量。

2.5 使用限制

在使用該軟體時，您會受到以下限制：

您應依照所有適用法律來使用本軟體，且不得將其用於任何非法目的。
您可在單個裝置上使用本軟體的各許可乙本。若將本軟體安裝到多使用者平臺，伺服器或網路上，則本軟體的每個使用者都必須單獨獲得許可證，或是已包含在多使用者或多網站授權之中。
其他人不得使用或安裝您的軟體許可證。
在每個裝置上，一次只能有一個人使用該軟體。
軟體的各組件是作為一個整體而被授予許可的。您不得分離或虛擬化這些組件並將其安裝在不同的裝置上。除下列第2.5(vi)條中描述的許可用途之外，本許可證僅允許使用者透過裝置的輸入裝置（如鍵盤，滑鼠或觸控式螢幕）直接使用本軟體，且使用者不得將軟體安裝在伺服器上，或者在透過內部網路，外部網路或商用網站連接到伺服器的其他裝置上使用本軟體。若需瞭解有關多使用者場景和虛擬化的更多訊息，請參見上文第2.5(ii)條和下文第2.6條。

未經ACD事先書面同意，不得轉讓，再授權，聯網，銷售或分發本軟體。
若您轉讓，出售，共用，出借，出租，租賃，借用，聯網或轉讓本軟體的使用權，那麼您就違反本協定。
為確保遵守本協定，依照ACD的要求，您同意ACD在正常工作時間內登入您的網站。
家庭版僅供個人使用，不得用於商業、非營利或創收活動。

2.6 虛擬化

您不得使用硬體或軟體來進行多路复用或共用連結，也不得以任何方式允許多個使用者或多個裝置透過該裝置間接登入或使用軟體。就本協定而言，各個虛擬裝置和物理裝置均為獨立裝置。依照本協定中規定的安裝和使用權利，本許可證僅允許使用者在每個授權裝置（物理裝置或虛擬裝置）上安裝一次軟體。若您想要虛擬化該軟體，那麼您必須為每個裝置獲取一個獨立許可證，多使用者許可證或網站授權。

2.7 轉讓

除非本協定另有授權，否則不得部分或全面複製，共用，分發，轉售，轉讓或分許可本軟體及本協定授予的許可證。

2.8 卸載說明

若要自您的裝置上卸載該軟體：

從 Windows "開始" 選單中，選擇 "控制面板"

選擇 "新增/移除程式"

點一下 "卸載"

3. 訂阅

3.1 訂阅

本條適用於已訂閱型許可證的使用者。

3.2 訂閱式線上服務

若您持續遵守本協定並支付訂閱費，那麼ACD將向您授予有限的，非排他性的，不可轉讓的全球性權利，從而您能夠在訂閱有效期間（“訂閱期限”）以遵守本協定中條款的方式登入和使用該軟體和相關線上服務。訂閱型軟體的安裝數量不得超過訂閱條款中所允許的裝置數量。在訂閱期限到期或終止時，在不事先通知的情形下，該軟體可能會停止執行，且在您續訂之前，您不得使用該軟體。本協定中規定的軟體相關條款應保持有效，並持續適用於軟體的使用。

3.3 限制

您同意接受以下訂閱相關條款和限制：(a)ACD可隨時對本軟體和訂閱內容中包含的其他軟體進行更改，替代和/或移除，且不須向您負擔任何責任；(b)在訂閱期內，您可能需隨時連接至網際網路並進行登入；(c)本軟體可隨時自行連接至網際網路以驗證您的訂閱情形且不會另行通知；及(d)您不得允許他人使用該軟體或訂閱服務。

3.4 附加限制

您同意接受與訂閱有關的下列附加條款和限制

您應依照所有適用法律來使用本軟體，且不得將其用於任何非法目的。
您可在單個裝置上使用本軟體的各許可乙本。若將本軟體安裝到多使用者平臺，伺服器或網路上，則本軟體的每個使用者都必須單獨獲得許可證，或是已包含在多使用者或多網站授權之中。
其他人不得使用或安裝您的軟體許可證。

3.5 虛擬化

4. 智慧產權限制

任何人不得透過任何方式將代表本軟體的ACD名稱，商標，徽標和圖形檔用於推廣使用本軟體發展的產品。本套裝軟體含受版權保護的資料，商用秘密和其他專有材料。您不得向任何協力廠商直接或間接交付，披露或傳達本軟體的內容。您不得，也不應試圖對本軟體進行修改，反向工程，反彙編或反編譯，或更改或移除表明ACD對本軟體擁有所有權的專有權，版權聲明或標識。您不得創作任何衍生作品或其他基於或衍生自本軟體的作品。ACD保留對本軟體的一切權利，所有權和利益及相關智慧產權的專有所有權。本軟體受加拿大和美國版權法及國際版權條約的保護。所有未明確授權的權利均由ACD進行保留。

4.1 有限保固和免責聲明

4.2 責任限制

4.3 出口合規性

除非符合國際貿易法，軟體使用所在國家的出口法及美國商務部工業和安全局出口管理條例，否則您同意不會出口或轉口本軟體，包括但不限於依照安全局出口管理條例中的限制條款::

將軟體出口或轉口到禁運國家；
將軟體出口或轉口到嚴禁接受美國出口物的個人和組織；
支持禁止性最終用途。

依照本協定，要想ACD向您授予許可證，前提是您遵守相應貿易和出口法律，且您承認若不遵守本條規定，那麼本許可證將被吊銷。

4.4 適用法律

本協定僅受不列顛哥倫比亞省法律和加拿大法律的制約，且不協定不適用任何法律衝突原則及不受《聯合國國際貨物銷售合約公約》和《國際貨物買賣合約法律適用公約》的制約。您不可撤銷地接受並服自不列顛哥倫比亞省維多利亞法院及有管轄權上訴法院的非專屬管轄。

4.5 終止

若您未能遵守本協定中的條款和條件，則本協定（包括本協定項下的許可證）將會自行終止。一旦本協定因某種原因終止，您同意立即停止使用本軟體並銷毀本軟體的所有乙本。針對使用，轉讓和出口的限制，有關所有權和專有權的規定，責任限制和擔保免責聲明，適用法律及持續有效的其他條款，在本協定到期或終止後仍然有效。

4.6 註冊

若要註冊軟體，您可以執行以下操作之一：

1)透過軟體中的註冊介面，在線提交註冊信息；

2)透過 https://acdid.acdsee.com/login?_lang=zh 中的支持页面在线提交注册信息。

作為註冊使用者，您可以選擇接收為ACD使用者提供的有用資訊和包含特別優惠的電子郵件。

4.7 資料使用許可

5. 通則

若您未能或延遲行使任何權利，則視為放棄該權利或補救措施。

若本協定的任何條款因任何原因不可執行或無效，則該等不可執行或無效不影響本協定其餘條款的可執行性或有效性，並且該等條款應與本協定的其餘條款分割開。

本協定構成了您和ACD之間就本協定標的物達成的完整協定，並取代先前和同期的所有口頭或書面提議、協定、諒解、陳述和通訊。

本協定應對各方及各自的繼承人和許可受讓人具有約束力，並符合他們的利益。

本協定的英文版次須用於解釋本協定任何條款的含義。
